Kellett School is organisationally a company limited by guarantee. Each family, on having a child in school, is a member of the Kellett School Association Limited, subject to payment of the annual fee of $500. Teachers with more than 3 years of service may also become members. The company holds an Annual General Meeting which all members are entitled to attend. The AGM receives reports from the Board Chairman and the Principal, adopts the Annual Accounts and elects/re-elects the directors (governors). Board meetings are held each month, apart from July/August during the summer holiday.

The Board of Governors comprises ex-officio and elected members. The Principal, the School Administrator and Educational Advisor are ex-officio members appointed by the Board from time to time. These three members are not subject to retirement by rotation. Seven parent Governors are elected by members of the Kellett School Association. They are subject to retirement by rotation with at least two governors being elected/re-elected each year. Terms for individual governors are usually 3 years.

The seven elected members of the board bring views as parents to the Board. These Governors act as individuals and do not see themselves as 'representatives' of parents or sections of parents but as responsible to the company in annual general meeting for the policy directions of the School in the context that they are themselves parents with children at School. All governors have equal status and voting rights. However, decisions are made with collective responsibility. The Deputy Principal, a staff representative and the Chairman of the Parents' Committee also attend board meetings, but have no voting rights.

The role of the Board is to set the overall policies of the School. It acts as a trustee of the founding spirit of the School embodying the child-centred approach to learning that is the heart of the Kellett tradition.

The Board is responsible for setting the overall policy of the School and ensuring it is viable in the business sense. It does not manage the School, that is the responsibility of the Principal with the help of her senior management team for the delivery of the children's education, and of the Principal with the help of the School Administrator for the efficient running of the non-academic operation. The Board appoints the Principal as the chief academic and administrative officer of the School to lead the School academically and manage its affairs. At its regular monthly meetings the Board considers

  • a report from the Principal
  • reports from sub-committees
  • matters raised by the Parents' Committee
  • matters raised by staff
  • matters raised by parents
  • presentations from staff on curriculum or policy matters.

Thus, the Board acts on a whole School basis to ensure that the policies and objectives of the School are being made.
